Purpose of Job

The Associate will be involved in execution, monitoring and divestments of equity and quasi-equity investments across sectors and geographies. The incumbent will be part of teams working on equity and quasi-equity transactions under guidance and supervision of Investment Directors/ Directors, Co-Heads Private Equity.

The Direct Equity Team is expanding its team in HQ and is looking to recruit an Associate whose main role will be to contribute to deal origination, preparation and execution in addition to portfolio monitoring.

The incumbent will typically work in project teams consisting of 3-4 members and will and will be involved in all phases from origination to signing, followed by implementation and monitoring until full completion and exit. All the stages involve different tasks such as business marketing, project due diligence analysis, structuring and approval, negotiation and signing of project agreements, disbursement and monitoring.

The role of the Associate is to contribute, as a project team member, to the structuring, implementation and monitoring of equity and quasi-equity transactions, and their effective implementation and monitoring in line with the Bank’s operational objectives. Under the guidance of the operation leader and/or more senior bankers, the Associate performs those tasks assigned to them and provides support to the operation leader and the project team throughout the project cycle, with a particular emphasis on research, data gathering, financial analysis and financial modelling.

Accountabilities & Responsibilities

  1. Business Development
    • Prepare analysis of market trends and developments and contribute to industry and country mapping exercises;
    • Contribute to marketing and business development efforts in equity to build reputable market contacts in order to develop a broad deal flow for EBRD, liaising closely with country and sector colleagues;
    • Prepare screening memos of project proposals that are generated through business development efforts.
      1. Structuring and Execution
        • Prepare robust and flexible financial models in Excel for potential investments;
        • Carry out initial valuation assessments using appropriate approaches;
        • Prepare materials for investment proposals and memoranda for internal approvals;
        • Prepare term sheets under supervision of transaction team leaders;
        • Participate in negotiation, when feasible and participate in the review of legal documentation and execution of transactions, working with clients, authorities, consultants and internal teams;
        • Take part in the project due diligence process ensuring undertakings are delivered on time and within the scope;
        • Ensure that all tasks within their responsibility are completed within the specified time frames to a high standard and in line with the policies, procedures and objectives of the Bank.
          1. Portfolio Monitoring, Value Creation and Reporting
            • Contribute to the monitoring of an assigned portfolio of investments by preparing relevant reports, tracking progress and implementation of value creation programs and highlighting major variances/issues to team leaders / Associate Directors.
            • Ensure information is being collected and that internal portfolio reports are clear, concise, prepared in a timely manner, and identify all key issues;
            • Maintaining relationship and regular communication with the respective counterparties at portfolio companies, staying on top of critical developments with investments:
            • Assist in implementation of an exit when agreed.
              1. Collaboration
                • Work with team members to ensure timely delivery of quality work;
                • Develop productive relationships within EBRD to able to work effectively in a country/sector matrix structure and in a multi-cultural working environment.

                  Qualifications, Skills, Experience & Knowledge:

                  • Bachelor’s degree. Master’s degree preferred.
                  • Professional qualification such as ACA, CFA, ACCA, or CIMA desirable.
                  • Strong quantitative/numerical skills are critical with the ability to interpret financial information, and a deep knowledge of designing, building and using financial models.
                  • The ability to interpret accounts, understanding local and international accounting principles and practice of credit analysis.
                  • Detail and quality oriented.
                  • Interpersonal skills. Team player.
                  • Task management skills.
                  • Ability to work to deadlines and under time pressure.
                  • Excellent written and oral communication skills in English.
                  • Good command of another language used in EBRD’s region is an advantage.
                  • Significant relevant private equity experience (5+years preferred), preferably in a major private equity firm or private equity arm of a major investment, commercial or development bank/IFI or asset management firm. EBRD will also consider candidates from Investment Banking and/or consultancy sectors where the candidate can demonstrate substantial exposure to private equity transactions
                  • Experience in equity transactions with focus on execution.
                  • Previous experience in the Bank’s countries of operations or of working and investing in emerging and frontier markets is an advantage.
