This full time, permanent role is based in Melbourne CBD, with flexible working options available. You will provide high-quality legal advice and company secretarial support to internal Save the Children Australia clients and be part of our Legal and Governance Team, reporting to our Group General Counsel.
You will make a difference by:
Delivering commercially focused in-house legal advice and support, including advising on acquisition and disposal transactions, fund establishment and management, AML&CTF compliance, funding agreements, intellectual property, data and privacy and regulatory compliance. Advising on and negotiating contracts for the Save the Children Australia Group, inclsuing its subsidiaries. Providing high quality and commercially focussed legal advice to the Executives and Boards of Save the Children Australia Group. Managing the Group’s insurance placement. Providing support on special legal projects Advising on complex contracting models for large donors, including the Green Climate Fund. Act as company secretary for the SCA subsidiary boards including:o Preparing for and attending meetings of the 3 subsidiary boards and their committees and where necessary, the Save the Children Australia Board.
o Preparing meeting minutes and managing action registers for subsidiary boards.
o Maintaining annual board meeting schedules and work plans for subsidiaries.
o Assisting with director appointments, onboarding and registrations..
o Working collaboratively with stakeholders including the Company Secretary for Save the Children Australia, Chairs, Boards and CEOs of the subsidiaries.
o Maintaining ACNC, ASIC and AUSTRAC and ensuring regulatory compliance.

This role requires:
Significant post admission experience as a practising lawyer either in private practice or in-house. Current Australian legal practising certificate. Company secretarial experience. A keen sense for commercial outcomes and delivering quality legal advice. Confidence to run matters and make decisions to achieve pragmatic solutions.
