Introduction

Population Services International (PSI) is pleased to invite you to respond to this Request for Proposal (RFP) for legal advice for PSI’s operations in Nigeria. PSI is open to both local counsel in Nigeria as well as international legal firms with proven expertise and a range of experience in Nigerian law, specific to business registrations for foreign corporations.

Purpose
With this RFP, PSI is requesting information about your firm and its ability to provide recommendations for entity type and structure for Viya HealthNigeria, as a foreign subsidary of Viya Enterprises LLC, based on current and future planned activities, intercompany relations, and general needs.

This RFP is issued solely for information and planning purposes. This document does not commit PSI to contract for any service, supply, or subscription whatsoever. PSI will not reimburse any information or administrative costs incurred because of participation in response to the RFP. All costs associated with response will solely reside at the responding party’s expense.

Scope of Work
*** The Scope of Work provided below is a summarized version of the full scope. The full scope will be shared with the selected vendor or with applicants at a stage following the receipt of the signed NDA.

Review PSI’s current and future state for Social Business operations in Nigeria and provide recommendations for the type of entity that PSI should consider. Recommendations will be made via a memo with both legal and tax information. PSI will provide the selected vendor with a questionnaire to clarify our questions, a variety of documentation, and a kick-off call to go into depth about the specifics of activities in country. The vendor may also be tasked with facilitating the application process for the new entity, if needed.

Deliverables for this scope include (but are not limited to)

Kick off call with PSI Draft legal and tax memo(s) Two rounds of edits, clarification, and follow up (if needed) Final memo with clear recommendation and responses to questions on PSI’s New Entity Request Form (to be shared upon selection of vendor)
