Reporting to the Chief, Environment, Social and Governance Division, the position will be responsible for ensuring compliance of projects financed by NDB with the Bank’s corporate governance framework and requirements of the country systems of NDB’s members, including applicable laws, regulations and procedures, as well as with good practices of corporate governance. In particular, this position will assist the project teams and country programming missions in assessing client's corporate governance policies, systems and practices.

Specific responsibilities include but not limited to:

Contribute to the development, review and update of the Bank's corporate governance framework based on NDB's policies, practices, and members’ country systems; Participate in project teams throughout the project cycle to provide advice on compliance with members’ country systems as well as good practices in corporate governance; Analyze and appraise corporate governance aspects of new investment proposals, conduct due diligence of client's corporate governance structure and practices, provide inputs to the project teams; Identify corporate governance risks of each operation, prepare recommendations, provide solutions and support for mitigation of these risks; Ensure, jointly with project teams, that clients operate in compliance with NDB’s corporate governance framework and members’ country systems and follow good practices in corporate governance; Promote awareness of good corporate governance practices for the Bank's clients and staff, by generating, incorporating and disseminating lessons learned; Support NDB clients' capacity building in corporate governance; Provide support and advice on governance-related matters in the Bank; Review and provide inputs and advice on NDB’s key strategies, policies, procedures, systems, and processes as they relate to the corporate governance aspects of projects financed by the Bank; Communicate, build and maintain strong relationships with external advisers and client’s representatives responsible for corporate governance matters; Provide training on corporate governance to relevant stakeholders when required; Other duties and responsibilities assigned from time to time.

Position requirements:

Minimum 7 years of relevant experience in a multilateral development bank or equivalent or regulated private/public sector financial institution, law firm, regulatory agency or consulting company. Knowledge of international ESG principles and good practices such as IFC Performance Standards or World Bank’s Environmental and Social Framework. Demonstrated technical knowledge of Corporate Governance principles and practices. Knowledge of good practices in corporate governance, such as IFC’s Corporate Governance Methodology and associated tools will be added advantage. Exceptional strategic thinking, resourcefulness, problem solving, communication, conflict management and resolution and interpersonal skills with high resilience and drive in achieving objectives and goals. Ability to engage with various stakeholders, effective influencing skills and demonstrated diplomacy. Relevant experience in a multi-cultural work environment fostering a climate of team work and collaboration. Strong written and spoken communications skills in English; ability to communicate ideas clearly and confidently, articulate issues and recommend solutions. Master’s degree in relevant discipline (e.g., Law, Business Administration, Finance, Accounting, Audit, or other related discipline).
