    Organizational Setting and Reporting Relationship

    This position is assigned within the Office of the General Counsel (OGC), ADB’s legal department. OGC is responsible for providing legal and policy advice to ADB’s Board of Directors, its Management, and client departments on operational and administrative matters and advises on methods to limit ADB’s risk exposure appropriately. It prepares or reviews documents that create and define the legal rights or obligations of ADB, including financing and investment contracts.

    Your Role

    You will provide assistance in the day-to-day operational requirements of the Office by performing a range of well-defined clerical and administrative duties described below, including supporting OGC’s special practice groups and teams. You will report to a designated International staff and senior National staff.

    Project Processing

  • Assist in the drafting and facilitation of documents for loans, guarantees, and technical assistance (TA) projects, undertaking a preliminary review of legal opinions against precedents, requests for amortization schedules, minutes of loan negotiations, co-financing and cooperation agreements, and other ADB-generated project documents, ensuring consistency with any applicable model documents.
Liaise with regional departments to facilitate efficient operations of the project cycle from the initial preparation and review to signing of loan documents, to transmittal to concerned parties, and to uploading in the Legal Information System (LIS).

Correspondence and Documentation Production

Assist in the preparation of various documents such as interpretation of various ADB policies and procedures, loan documents, legal opinions, effectiveness letters, Asian Development Fund papers, borrowings and swap transactions, and other routine correspondences. Assist in the preparation of materials and PowerPoint presentations for seminars and workshops.

Legal Documents and Information Monitoring

Maintain updated filing system and compiles blackbooks for approved projects, as well as other reference materials for counsels. Select and upload memoranda and signed loan documents; minutes of lawyers’ meetings; and Law, Policy, and Reform (LPR) TA documents into the respective databases: LIS, OGC Intranet, and LPR. Monitor documents for action or reassignment and updates the OGC Deskbook.

Law, Policy and Reform (LPR)

Participate actively in the preparation, processing, implementation, and administration of LPR projects. Assists in the engagement of national and international consultants through Consultant Management System (CMS); prepares correspondences and arranges meetings with Governments, consultants, and TA development partners; administers contract variations, liaising with consultants on various aspects of contract administration; processes consultants’ claims and makes arrangements for TA missions. Provide significant assistance and coordinates with other legal operations assistants (LOA) in LPR activities, including preparation; coordination with the Department of Communications (DOC), Office of Administrative Services (OAS), and other relevant ADB departments; administrative functions and logistical arrangements for TA workshops, large conferences, and OGC-sponsored seminars. Undertake proofreading and copy-editing tasks for LPR publications, consultant reports, case studies, and desk reviews; and assists in coordinating with DOC on LPR publication requirements. Assists with writing simple memorandums and proofreading pre-publication. Communicate with external development partners, government officials, and the judiciary regarding logistical arrangements for OGC programs.

Operations Support and Procurement

Manage the workflow of the Operations Support Team (OST) by being the focal person when sovereign operations counsel requires assistance from OST. Keep track of the workload and timeliness in the completion of assignments. Manage the workflow of the Procurement Unit by being the focal point for all procurement-related requests, closely coordinating with the team members to ensure OGC’s procurement review process adheres to strict compliance with the ADB-wide Service Level Standards. Provides initial review and comments on simple draft bidding documents submitted by user divisions/regional departments to OGC for review. Assists in the creation, maintenance, and improvement of databases necessary for OST and Procurement.

ADB Borrowings and Swap Transactions

Sort, compile, and monitor documentation related to ADB borrowing/swap transactions and in consultation with the Treasury Department, assists in preparing necessary draft documentation from the internal authorization stage to the processing and closing stages, and ensures that the above documentation is properly filed and bound in volumes for OGC use. As requested by supervisors, provide administrative support in projects relating to ADB’s investment transactions and treasury services.

Research

Undertake internet and database research or obtains documents from various sources for legal and/or background materials for TA, project, and non-project matters.

Office Administration and Other Administrative Duties

Work closely with other LOAs, ensuring conformity on the application/interpretation of office systems/procedures, guidelines, and formats. Act as a temporary assistant to other counsels and OGC staff consultants when necessary. Perform any other assignments as required and reflected in the incumbent’s workplan.

Qualifications

You will need:

Bachelor’s degree, preferably in business administration, commerce, management, accounting, or other relevant discipline. At least 5 years of relevant professional experience Excellent command of written and spoken English Excellent analytical skills; attention to details; ability to concentrate Good memo composition, editing, and proofreading skills Proficient in ADB standard software applications Ability to work independently and maintain composure under pressure and manage priorities and workload with a general schedule of work, instructions, and standardized practices. Ability to work with individuals from different cultural and national backgrounds Ability to work collaboratively with teams as a constructive team member. Additional Information

This is a fixed term appointment with option to renew for an initial period of three (3) years following Section 3.1 (b) of Administrative Order No. 2.01 (“Recruitment and Appointment’). This appointment is not convertible to a regular appointment. It may be extended on an exceptional basis for a further fixed period at the option of ADB. This appointment is open to internal and external applicants.
