    Organizational Setting and Reporting Relationship

    This position is assigned to the Private Sector Legal Operations (PSLG) within the Office of the General Counsel (OGC), ADB’s legal department. OGC is responsible for providing legal and policy advice to ADB’s Board of Directors, its Management, and client departments on operational and administrative matters and advises on methods to limit ADB’s risk exposure appropriately. It prepares or reviews documents that create and define the legal rights or obligations of ADB, including financing and investment contracts.

    Your Role

    You will provide analytical and technical support to OGC’s PSLG team with a particular focus on equity, ADB Ventures, third-party funds, and other related matters in support of the Bank’s nonsovereign operations. You will report to the relevant Assistant General Counsel and/or designated International Staff.

    You will:

    Work independently on all or a combination of the following defined areas, depending on the assignment and specific duties agreed in the individual work plan.

    a. Operational Support (Private Sector Legal Operations)

    • Provide analytical and technical support in the processing, negotiating, and administering of nonsovereign financing transactions with a particular focus on ADB’s private equity fund and direct equity investment transactions.
    • Provide analytical and technical support on other types of ADB nonsovereign financing as required, including loans, debt capital markets (bonds and debentures), convertible instruments, and equity investments.
    • Provide analytical and technical support in the drafting and processing of legal documentation for all such investments, including as necessary non-disclosure agreements, mandate documents, and loan, guarantee, and equity documentation and documentation related to conditions precedent to subscription, disbursement, and funding capital calls; and liaise with stakeholders on all relevant aspects of the investments and documentation process.
    • Provide analytical and technical support in resolving complex issues and mitigating legal risks for ADB.
    • Assist with credit approval and other internal processing matters, technical assistance, and portfolio management, including waivers, consents, amendments, and restructurings as required.
    • Support the development and update of ADB policies, procedures, and guidelines through the provision of legal advice concerning the same.

    b. Knowledge Development & Management

    • Support the development of template documentation, guidance notes, and/or internal “know-how” for both OGC and other relevant departments. Participates in and contributes to relevant internal and external training and other activities for advocacy, dissemination, and knowledge building.

    • Provide diverse general and in-depth reference and research services for PSLG using online databases, external counsel, and other information repositories.

    • Coordinate with PSLG in the development, compilation, and maintenance of relevant legal precedents related to nonsovereign operations and prepares a summary of key issues for further discussion and analysis as required.
    Performs other duties as may be assigned and reflected in the incumbent’s work plan.

    Qualifications

    You will need:

  • Bachelor’s degree, preferably with a master’s degree or equivalent.
Minimum of 5 years relevant experience. Preferably with good working knowledge of legal aspects of ADB nonsovereign projects, operations, and administration. Excellent written and verbal communication skills in English. Excellent analytical skills, attention to detail, and ability to concentrate. Ability to manage time to handle heavy workloads.
