I. MSF INTERNATIONAL

Médecins Sans Frontières (MSF) is an international, independent, medical humanitarian organisation that delivers emergency aid to people affected by armed conflict, epidemics, healthcare exclusion and natural disasters. MSF offers assistance to people based only on need and irrespective of race, religion, gender or political affiliation.

MSF International is the legal entity that binds MSF’s 23 sections, 25 associations and other offices together. Registered in Switzerland, with teams located within most MSF offices, MSF International provides coordination, information and support to the MSF Movement, as well as implements international projects and initiatives as requested.

The International Legal Department (ILD) is currently the only intersectional department of MSF; its field of expertise is varied, including international humanitarian law (IHL), registration, taxes, medico-legal issues, medical research, labour law, commercial law, trademarks and international governance.


II. POSITION BACKGROUND

The position of International Governance Legal advisor is based in Unit 5 of the ILD.

This Unit of the ILD is managed by two Unit managers and is dedicated to providing legal support to MSF International on governance matters, both associative and executive, and is composed of 3 areas of expertise:

International and Corporate Governance, Trademarks and Frauds,International/IO transversal projects/contracts.


III. OBJECTIVES OF THE POSITION

The International Governance Legal advisor will respond to legal queries in its area of expertise. His/her role, in close connection with the Unit managers, will be to:

Provide legal and strategical advice on governance issues, Carry out legal risks analysis on MSF international governance and different legislation in countries of incorporations and reviews of corporate and institutional documents, Participate in the elaboration of governance policies and guidelines.Participate to the governance reform.

The International Governance Legal advisor will also play a key role in bridging possible gaps, and the management of legal governance issues between Governance and trademarks activities, both areas of expertise being highly complementary.


IV. MAIN RESPONSIBILITIES

Provide legal support and guidance to the IB and different working groups (GWB, ASC) and bodies (IP, IGA). Provide legal support regarding the creation of new entities (Sections, Institutional Members, BO, satellites, etc.) ensuring coherence within the MSF movement and adequation with the governance and IS. This includes reviewing proposals, applications, statutes and set-ups, drafting memos, validating drafting and wording.Participate in defining new approaches, policies and regulations and follow-up their dissemination and implementation. Develop tools and guidelines to support international governance bodies as well as MSF entities.Act as a focal point for any governance related query, linking with the Unit managers, other members of Unit 5 and of the ILD to coordinate responses and efforts.Ensure the liaison with the Unit Manager and legal advisor dedicated to the Trademarks and Frauds activities.
